1. About these terms
telonlabs.com (the "Site") is operated by Telon UK Limited ("Telon", "we", "us"), a company registered in England and Wales, company number 17086447, with its registered office at 27 Old Gloucester Street, London WC1N 3AX, United Kingdom.
These terms govern your use of the Site. By using the Site you agree to them. If you do not agree, do not use the Site.
We may change these terms at any time by posting an updated version. The effective date above shows when they were last changed, and continued use of the Site after that date means you accept the change.
2. These terms do not govern our services
If you engage Telon, that engagement is governed by the master services agreement, statement of work or order form signed by the parties. Those documents take precedence over these terms in every respect. Nothing on the Site forms an offer capable of acceptance, and nothing on the Site varies a signed agreement.
3. No legal advice and no lawyer-client relationship
Telon is not a law firm. Telon is not authorised or regulated by the Solicitors Regulation Authority, is not a licensed body under the Legal Services Act 2007, is not admitted to practice law in any United States jurisdiction, and does not provide legal advice or legal representation.
Content on the Site is provided for general information about our business and our services. It is not legal advice, and it is not a substitute for advice from a qualified lawyer admitted in your jurisdiction. Using the Site, contacting us, or sending us information does not create a lawyer-client or attorney-client relationship, and no such relationship arises with Telon in any circumstances. No communication with us through the Site is privileged, and you should not send us confidential information through the Site.
4. Permitted use
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own business or personal information. All other rights are reserved.
You must not:
use the Site in a way that breaches any applicable law, or for any unlawful or fraudulent purpose;
copy, reproduce, republish, distribute, sell or exploit any part of the Site except as expressly permitted by these terms or by applicable law;
use any automated system, including scrapers, crawlers or bots, to access, monitor or copy the Site or its content, other than search engine crawlers operating within our robots.txt file;
use any content from the Site to train, fine-tune or otherwise develop any machine learning or artificial intelligence model, or to build any competing or derivative dataset, without our prior written consent. We expressly reserve all rights in relation to text and data mining, including for the purposes of Article 4(3) of Directive (EU) 2019/790;
introduce any malicious code, or attempt to gain unauthorised access to the Site, its servers or any connected system, which may be an offence under the Computer Misuse Act 1990;
interfere with the proper working of the Site, or place unreasonable load on our infrastructure; or
remove or obscure any copyright, trade mark or other proprietary notice.
5. Intellectual property
All content on the Site, including text, graphics, layout, logos, images, video, software and the selection and arrangement of that content, is owned by Telon or its licensors and is protected by copyright, trade mark and other intellectual property laws. "Telon" and the Telon logo are trade marks of Telon. Nothing on the Site grants any licence or right to use any trade mark without our prior written permission.
Third-party names, logos and trade marks appearing on the Site belong to their respective owners and are used for identification only. Their appearance does not imply any endorsement or partnership unless we say so expressly.
6. Material you send us
If you send us feedback, ideas, suggestions or other material through the Site, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without restriction or payment. You confirm that the material is yours to give and that it does not infringe anyone else's rights. Do not send us anything you consider confidential.
7. Links and third-party content
The Site may link to third-party websites and resources. We do not control them, we do not endorse them, and we are not responsible for their content, their availability or their handling of your data. You follow those links at your own risk.
8. Availability
We aim to keep the Site available, but we do not guarantee it. We may suspend, withdraw or restrict all or part of the Site at any time without notice, including for maintenance. We are not liable if the Site is unavailable for any period.
9. Disclaimer
The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions and representations, express or implied, including any implied warranty or condition of satisfactory quality, fitness for a particular purpose, non-infringement, accuracy or completeness.
Content on the Site, including any commentary on legal technology, markets, regulation or artificial intelligence, may become out of date, and we are under no obligation to update it. You should not act on anything on the Site without taking appropriate professional advice.
10. Limitation of liability
The Site is provided for business use. To the fullest extent permitted by law, Telon and its group companies, officers, employees and agents will not be liable for any indirect or consequential loss, or for any loss of profits, revenue, business, contracts, goodwill, data or anticipated savings, arising out of or in connection with your use of the Site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not the loss was foreseeable.
Our total aggregate liability arising out of or in connection with the Site will not exceed one hundred pounds sterling (£100).
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. If you use the Site as a consumer, nothing in these terms affects your statutory rights.
11. Indemnity
If you use the Site in the course of a business, you will indemnify Telon against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these terms or your misuse of the Site.
12. Privacy
Our Privacy Policy explains how we handle personal information collected through the Site, and forms part of these terms.
13. Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes and claims, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the United Kingdom or the European Economic Area, you may bring proceedings in the courts of your country of residence.
The Site is operated from the United Kingdom. We make no representation that the Site or its content is appropriate or available in other locations, and if you access it from elsewhere you are responsible for compliance with local law.
14. General
If any provision of these terms is found unenforceable, the rest remains in force. Our failure to enforce any provision is not a waiver of it. These terms are between you and Telon, and no other person has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999. You may not assign your rights under these terms.
